Coaching agreement

Coaching Agreement — Kristina Patterson Coaching

This Coaching Agreement ("Agreement") is entered into between Kristina Patterson ("Coach") and the client identified in the intake form ("Client"), effective upon receipt of payment.

1. Nature of Coaching

Coaching is a professional relationship that supports Client in achieving their personal and professional goals. Coach operates in accordance with the ICF Code of Ethics. Coaching is not therapy, counseling, consulting, or legal advice. Client is fully responsible for their own decisions, actions, and results.

2. Services & Fees

Services, duration, and fees are as selected in the booking form. For monthly retainers, fees are billed at the start of each month. The Succession Sprint requires a 3-month minimum commitment. VIP Day sessions must be scheduled within 60 days of payment. Corporate Retainers are billed monthly for up to 3 named successors per organization.

3. Sessions & Scheduling

Sessions are conducted via Zoom (or in-person by arrangement for VIP Days in the San Francisco Bay Area). Client agrees to arrive on time and to notify Coach at least 24 hours in advance of any need to reschedule. Missed sessions without 24-hour notice are forfeited. Scheduling is managed through Calendly link provided after booking.

4. Confidentiality

Coach treats all information shared by Client as confidential. Coach will not disclose Client's information to third parties without Client's written consent, except as required by law or ICF ethics obligations. For Corporate Retainer clients: Coach will not share individual session content with the sponsoring organization without the individual successor's consent; only aggregate progress summaries are shared with the CHRO/CEO sponsor.

5. Cancellation & Refund Policy

Monthly retainer clients may cancel with 30 days written notice. No refunds are issued for the current billing month. VIP Day payments are non-refundable but may be rescheduled once with at least 72 hours notice. If Coach cancels, a full refund or rescheduled session is offered at Client's choice.

6. Intellectual Property

Any assessments, worksheets, or frameworks shared by Coach are proprietary and for Client's personal use only. They may not be reproduced or distributed without Coach's written permission.

7. Limitation of Liability

Coach's liability is limited to fees paid in the most recent 30-day period. Coach makes no guarantees regarding outcomes. Client acknowledges that results depend on their own commitment and effort.

8. Governing Law

This Agreement is governed by the laws of the State of California. Any disputes shall be resolved through mediation before litigation.
